These Terms & Conditions ("Terms") govern your access to and use of BanquetLabel ("BanquetLabel," "we," "us," or "our"), including our website, web application, and related services (collectively, the "Service"). By creating an account, selecting a plan, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract. By using the Service, you represent that you meet these requirements and, if using the Service on behalf of a business, that you are authorized to bind that business.
2. The Service
BanquetLabel provides software to design, generate, and print food labels and menus, including allergen and ingredient information, template-based design tools, and AI-assisted menu/PDF parsing features. We may add, modify, or remove features at any time.
3. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use. You agree to provide accurate, current account information.
4. Plans, Billing & Payments
- Paid plans are billed through our third-party payment processor, Stripe. By subscribing, you also agree to Stripe's terms.
- Subscriptions renew automatically at the end of each billing cycle unless cancelled before renewal.
- Fees are charged in advance and are non-refundable except as required by law or as expressly stated by us.
- You authorize us (via Stripe) to charge your payment method for all applicable fees and taxes.
- We may change pricing with reasonable advance notice; changes apply to the next billing cycle.
5. Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until that time and will not be charged thereafter.
6. User Content
You retain ownership of content you upload or create, including menus, ingredient lists, designs, uploaded logos, and label data ("User Content"). You grant us a limited, non-exclusive license to host, process, store, reproduce, and display your User Content solely to operate and improve the Service and to render it on the labels you generate. You represent that you have the rights to all User Content you submit.
7. Logos & Brand Assets You Upload
Certain plans allow you to upload your own logo, brand marks, or other images ("Brand Assets") to display on the labels you create. You retain all ownership of your Brand Assets. By uploading a Brand Asset, you grant BanquetLabel a limited, non-exclusive, worldwide, royalty-free license to store, reproduce, resize, and display it solely to provide the Service to you—including generating, previewing, and printing your labels—and for no other purpose. We do not use your Brand Assets for our own marketing or to train AI models.
You represent and warrant that you own, or have all necessary rights, licenses, and permissions to use, each Brand Asset you upload, and that its use on your labels does not infringe any trademark, copyright, publicity, or other right of any third party. You are solely responsible for your Brand Assets and their use, and you agree to indemnify BanquetLabel for any claim arising from a Brand Asset you upload (see Section 15). We may remove or disable any Brand Asset that we reasonably believe is unlawful, infringing, or in violation of these Terms.
8. AI-Assisted Features & Accuracy Disclaimer
The Service includes AI-assisted features (including menu and PDF parsing) that may generate or extract text, ingredient, and allergen information. AI output may be inaccurate or incomplete. You are solely responsible for reviewing and verifying all label content—especially allergen and ingredient information—before printing, distributing, or relying on it. BanquetLabel does not guarantee compliance with any food-labeling law or regulation and is not a substitute for professional or legal advice.
9. Dietary Tags & Labeling
The Service may automatically suggest, assign, or display dietary tags (such as vegetarian, vegan, gluten-free, or dairy-free) for menu items, and allows you to add, remove, or edit such tags. Dietary tags are provided as a convenience only and may be inaccurate, incomplete, or unsuitable for any particular guest, allergy, intolerance, or dietary or religious requirement. BanquetLabel does not verify, and is not responsible for, the accuracy of any dietary tag, whether automatically generated or entered or edited by you. You are solely responsible for independently confirming all dietary, allergen, and ingredient information with your kitchen, chef, and suppliers before creating, printing, distributing, or relying on any label. BanquetLabel shall not be liable for any damages, illness, injury, loss, or claim arising from reliance on dietary tags or label content.
10. Acceptable Use
You agree not to: (a) use the Service unlawfully; (b) upload malicious code; (c) attempt to access systems or data without authorization; (d) reverse engineer or resell the Service without permission; or (e) use the Service to create misleading or unlawful labeling.
11. Intellectual Property
The Service, including its software, templates, designs, and branding, is owned by BanquetLabel and protected by law. We grant you a limited, revocable, non-transferable license to use the Service per these Terms. Templates and designs provided by us may be used to create your labels but may not be redistributed or resold as standalone design assets.
12. Third-Party Services
The Service integrates with third parties (e.g., Stripe for payments, cloud hosting, and AI providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BANQUETLABEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
15. Indemnification
You agree to indemnify and hold BanquetLabel harmless from claims, damages, and expenses arising out of your User Content, your Brand Assets, your use of the Service, or your violation of these Terms—including any claims related to inaccurate labeling or allergen information, or any claim that a logo or Brand Asset you uploaded infringes a third party's rights.
16. Termination
We may suspend or terminate your access for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Service ends; certain provisions (e.g., IP, disclaimers, liability, indemnification) survive.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
18. Governing Law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Florida.
